Registration Agreement for the Joint Talent Pool

Between
the-models GmbH, Kreuzstr. 34, 33602 Bielefeld, represented by its management,
and
the hostess GmbH, Kreuzstr. 34, 33602 Bielefeld, represented by its management,
– hereinafter jointly referred to as the “Pool Companies” –
and
the registered Talent
– hereinafter referred to as the “Talent” –
the following registration agreement is concluded:
§ 1 Subject Matter of the Agreement
(1) The subject matter of this agreement is the inclusion of the Talent in the joint talent pool operated by the Pool Companies for the following areas:
a) hostesses / promotion / event staff,
b) models / performers,
c) moderation.
(2) The talent pool serves the internal management of talent profiles, the public presentation of suitable Talents on the websites and other marketing channels of the Pool Companies, and contact regarding specific job, casting, project and booking enquiries.
(3) The Talent is registered for the activity categories listed in paragraph 1. The Pool Companies are entitled to present the Talent’s profile within the scope of these categories and the specific profile on one or both websites (the-models.de and the-hostess.de) as well as in other marketing channels, insofar as this is appropriate for marketing the Talent.
(4) The Talent has no entitlement to specific or regular enquiries, placements, bookings, publications or any particular positioning.
(5) The Talent is not obliged to accept individual enquiries or bookings.
§ 2 Conclusion of Registration
(1) Registration takes place via one of the websites operated by the Pool Companies or via another registration process provided by them.
(2) The agreement is concluded only once the registration has been confirmed by one of the Pool Companies or the Talent’s profile has been activated.
(3) The Pool Companies are entitled to reject registrations without stating reasons or to deactivate profiles, in particular in cases of
incomplete or incorrect information,
missing rights to uploaded content,
breaches of this agreement,
lack of suitability or marketability,
unlawful or inappropriate content.
§ 3 Registration Requirements and Information
(1) The Talent confirms that all information provided is complete, accurate and up to date.
(2) The Talent must update any changes to data, availability, qualifications and appearance without delay.
(3) Registration is only permitted for adults with full legal capacity. Where required for bookings, the Talent must provide relevant business or freelance documentation upon request.
(4) The Pool Companies may request information regarding identity, qualifications, availability and tax status where necessary.
§ 4 Services of the Pool Companies
(1) The Pool Companies maintain a profile for the Talent.
(2) Services include in particular:
a) creation and maintenance of the profile,
b) assignment to categories and search filters,
c) public presentation on websites and marketing channels,
d) contact regarding bookings and projects,
e) sharing profile data with potential clients,
f) account management and communication.
(3) Personal contact details do not have to be publicly displayed. The Pool Companies may limit visible data to relevant information.
§ 5 Public Presentation and Rights of Use
(1) The Talent grants the Pool Companies a non-exclusive, free, worldwide right to use provided content (text, images, video, audio) for profile presentation and marketing purposes.
(2) This includes use on websites, in client presentations, booking proposals, emails and social media.
(3) The Talent confirms they hold all necessary rights and that no third-party rights are infringed.
(4) The Pool Companies may adapt content technically or visually (e.g. cropping, resizing) without distorting the Talent.
(5) No separate remuneration is granted for the use of profile content.
§ 6 Representations and Indemnification
(1) The Talent confirms that provided content reflects their current appearance.
(2) The Talent indemnifies the Pool Companies against third-party claims arising from rights violations.
§ 7 Use of the Talent Pool
(1) The Pool Companies may contact the Talent regarding suitable opportunities.
(2) By registering, the Talent agrees to the use of their data for such purposes.
(3) This agreement does not constitute a booking contract. Separate agreements apply to specific jobs.
(4) Contract execution depends on agreements with the respective Pool Company or client.
§ 8 Account Obligations
(1) Access data must be kept confidential.
(2) The Talent must report any unauthorized access.
(3) Unlawful or inappropriate content is prohibited.
§ 9 Term and Termination
(1) The agreement is concluded for an indefinite period.
(2) The Talent may terminate at any time or request deletion.
(3) The Pool Companies may terminate or deactivate profiles at any time.
(4) Existing bookings remain unaffected.
§ 10 Liability
(1) Liability applies in accordance with statutory law for intent and gross negligence.
(2) In other cases, liability is limited to foreseeable damages.
(3) No liability for unauthorized third-party access unless at fault.
§ 11 Data Protection
(1) Data is processed jointly by the Pool Companies.
(2) Details are outlined in the privacy policy.
(3) Additional rules apply for specific bookings.
§ 12 Final Provisions
(1) German law applies.
(2) Changes must be made in text form.
(3) If individual provisions are invalid, the remainder remains unaffected.
